1. General

1.1. Your agreement with us

You should read this document carefully. These General Terms and Conditions govern the general conditions pertaining the online registration, the purchase of tickets, the attendance at and/or participation at the Untold Stories Conference Budapest (hereinafter referred to as: “Conference”) organized and hosted by EMG Group Zrt. (registered office: 1031 Budapest, Záhony utca 7., registration number: 01-10-048582, tax number: 25369001-2-41, hereinafter referred to as: “EMG Group” or “We”, “Us”, “Our”) as well as the rights and obligations arising from the legal relationship between EMG Group and the ticket purchasers and / or visitors (ticket purchasers and visitors are hereinafter jointly referred to as: “Customers” or “You”). By registering for the Conference, you agree that you have read and accepted these Terms and agree to be legally bound by them. If you do not wish to be bound by these Terms, please do not register, attend or participate in the Conference.

1.2.    Registering for yourself

Natural persons under 18 years of age are not allowed to register on the website and such Customer may not make purchases. By purchasing a ticket, the Customer agrees to the terms and conditions contained herein.

1.3.    Registering on behalf of another

If you are registering on behalf of another person, it is your obligation to make sure that the person attending is aware of these Terms and accepts them. By completing and submitting the registration form you are representing and guaranteeing that you have made the person attending aware of these Terms and that they have accepted these Terms.

1.4.    Changes to this policy

These Terms apply to you from the date of publishing until these Terms are superseded by a new version. Any amendments shall take effect immediately upon publication on the Conference website. We may update these Terms at any time for legal or regulatory reasons, or to reflect changes in our services or business practices. Any amended Terms will be posted here.

2. Pre-contractual information pursuant to Article 11 of Government Decree No. 45/2014 (26.II.) on contracts concluded between parties who are absent

EMG Group hereby informs the Customer of the following information. We kindly ask our Customers to review this information before purchasing a ticket and proceeding to conclude a contract with Us only on the basis of this information.

2.1. The essential features of the Conference can be found on our website. Our website contains detailed information on the tickets available and their prices, in gross form (including VAT payable) in euro. EMG Group does not sell products for which the indication of the unit price is required by law (products available in multiple packages or in multiple items). On the Website, the Customer can learn about the performances;

2.2 The name of the ticked vendor is EMG Group Zrt.;

2.3. EMG Group registered office, postal address, telephone number, and e-mail address are listed in subsection 1.1 of Section 1. of this document;

2.4. The place of business of EMG Group is the registered office indicated in subsection a. of Section 1. The Customer may submit complaints to EMG Group Zrt. via the following e-mail address: hello@untoldstoriesconference.com;

2.5. The total amount of the fee for the contractually agreed price plus VAT is indicated by the so-called "VAT included" amount on the “Cart” subpage of the website. Convenience fee is not applicable for purchasing ticket to the Conference. In addition to the gross prices shown there, the Customer may incur additional costs;

2.6. EMG Group does not offer a subscription or a flat-rate contract. The amount of the fee shall be based on all costs relating to the ticket purchase;          

2.7. The Customer may be charged a fee by his/her telecommunications service provider for the internet, mobile or other electronic connection, and for any special payment method (e.g. mobile payment). However, EMG Group itself does not use a premium rate service; 

2.8. The payment and electronic Ticket (hereinafter referred to as "e-Ticket") is delivered to the e-mail address provided by the Customer. The physical delivery of the e-ticket is not possible, as it is issued and delivered electronically by the EMG Group. The service is automatic, the delivery may take up to 1 hour. The rules on complaint handling are set out in subsection 1.5. of Section 1.

2.9. Information on the time limits and other conditions for the exercise of the Customer's right of cancellation and termination are set out in subsection 5.2. of Section 5. of this document;

2.10. Due to the nature of the tickets (e-tickets), the tickets may not be returned;

2.11. EMG Group does not carry out any transactions in which the Customer would be obliged to reimburse the reasonable costs of EMG Group due to the exercise of the Customer’s right of withdrawal and termination.

2.12. Pursuant to Section 29 paragraph (1) l) of Government Decree 45/2014. (II. 26.) Customer may not exercise his/her right of cancellation or right of termination as the Conference ticket is valid for a specific date (specific day, deadline).

2.13. The legal obligations concerning the breach product warranty are detailed in subsections 3.8. of Section 3 of this document.

2.15. Under the applicable law, the range of products sold by the EMG Group is not covered by any warranty obligation.

2.16. EMG Group is not a signatory to the Code of Conduct under the Act on the Prohibition of Unfair Commercial Practices against Customers and has not signed up to it.

2.17. The contract between the Customer and EMG Group is concluded for a limited period of time, the duration of which, in the case of a ticket purchase, lasts until the last day of the Conference or until the end date of the visit to the Conference.

2.18. The contract is not converted into a contract of indefinite duration.

2.19. During the purchase process, the Customer has no obligations beyond the payment of the fee.

2.20. The Customer does not provide EMG Group with a deposit or other financial security.

2.21. Operation of digital content, technical protection measures: the availability of servers providing the data displayed on the website https://untoldstoriesconference.com/ is above 99.9% per year. The data content on the website is stored utilizing RAID technology and is stored on multiple servers. If any hard drive is damaged, the system remains operational with the remaining hard disks, even with the remaining hard drives. Regular backups of the entire data are made, so that in the event of a problem, the original data can be restored.

2.22. About the use of hardware and software to manage digital content interoperability: Data displayed on https://untoldstoriesconference.com/ are stored in a MySQL database with high security. 

2.23. In consumer protection matters in the first degree, the district offices and the Pest County Government Office, in second degree cases the Pest County Government Office has jurisdiction at the national level.

2.24. The conciliation body is competent for the out-of-court settlement of disputes between consumers and businesses concerning the quality and safety of products, the application of product liability rules, the quality of service, and the conclusion and performance of contracts between the parties (consumer disputes). To this end, the conciliation body attempts to reach an agreement between the parties and, if this is unsuccessful, it decides the case in order to ensure that consumer rights are enforced in a simple, quick, efficient and cost-effective manner. At the request of the consumer or the business, the conciliation body advises on the rights and obligations of the consumer. The conciliation body is an independent body attached to the county Chambers of industry and commerce. 3. Customer terms

3.1. Changes or cancellation of a conference

We try to make sure that the Conference programmes, speakers, topics and venues and dates are correct at the time of publishing, circumstances beyond our control may necessitate substitutions, alterations, postponements, or cancellations to the content, format, themes, name, performers, hosts, moderators, venue, timing or dates of a Conference. We reserve the right to do so at any time and will not be liable to you for any cost incurred by you as a result (including, without limitation, travel, accommodation and other expenses).

Considering that the future impacts of the outbreak of Covid-19 or any other pandemic are unforeseeable, we reserve the right to host the Conference entirely online in case a pandemic outbreak adversely affects hosting the Conference in person (including but not limited to changes in regulation, economic hardship. etc.). 

We will endeavor to notify you as soon as reasonably practicable of any substitutions, postponements, or changes by posting the updated information on untoldstoriesconference.com

IF THE CONFERENCE IS POSTPONED, WE WILL PROVIDE YOU WITH SUBSTITUTE PASSES TO THE CONFERENCE AT A LATER DATE. NO REFUNDS WILL BE PROVIDED IF THE CONFERENCE IS POSTPONED.

In the unlikely event of cancellation of the Conference, our total aggregate liability to you is limited to the refund of paid fees that remain after credit card and payment processing fees have been incurred and deducted, and we will not be liable to you for any expenditure, damage or loss incurred by you as a result of the cancellation.

3.2. Photography, audio and video recording

Any use of photographic, audio, video or other recording equipment at the Conference is strictly prohibited, unless it is approved by us in writing in advance.

By attending the Conference, you acknowledge and agree that the Conference (or any part of it) may be photographed or recorded by us or our partners. You agree to permit us, or any third party licensed by us, to use, distribute, broadcast, or otherwise globally disseminate your likeness, name, voice and words in perpetuity in television, radio, film, newspapers, magazines and other media now available and hereafter developed, both before, during and any time after the Conference, and in any form, without any further approval from you or any payment to you. This grant includes, but is not limited to, the right to edit the media, the right to use the media (alone or together with other information), and the right to allow others to use or distribute the media unrestricted in time, geographical location and form of usage.

3.3 Your attendance at the Conference

You are responsible for advising us at the time of making your booking regarding any special access requirements you require at the Conference.

You are responsible for arranging your own appropriate insurance cover in connection with your attendance at the Conference. We and our related companies will not be liable for any injury or damage to any person or to any real or personal property however caused (except for death or personal injury as a result of our negligence or for any other type of liability that cannot by law be excluded or limited). Without prejudice of the above there is an element of risk of exposure to Covid-19 associated with visiting the Conference and each visitor freely and willingly accepts such risk when entering into the Conference. Any Customer and other individuals attending the Conference may carry Covid-19 and it cannot be guaranteed that they are or will be free of Covid-19. 

During the Conference, you shall conduct yourself in an orderly manner and shall not act in any manner which causes offence, annoyance or inconvenience to other Customers. Customers shall not canvass, promote, advertise or solicit for business in a manner which, in our sole discretion, is deemed unacceptable. We reserve the right to remove from the Venue any Customer who we consider in our reasonable opinion contravenes applicable laws or regulations or our policies and procedures or those of the Venue, is likely to cause offence or annoyance or is otherwise inappropriate or does not comply with these terms.

3.4. Wristbands / lanyards

For security and identification reasons, we require all delegates to:

  • display on their wrist the official Conference wristband; OR
  • display around their neck the official Conference lanyard containing their badge.

You shall carry a photo identification and display it at all times on request.

3.5. Visa requirements

It is your sole responsibility to take care of visa requirements. If you require an entry visa to attend, volunteer or exhibit at the Conference, you must allow sufficient time for the visa application procedure. In case you are not granted a visa, we are under no obligation to refund your ticket.

3.6. Intellectual property rights

All intellectual property rights in and to the Conference, the Conference content, and all materials distributed at or in connection with the Conference are owned by Us, our related companies, and/or the Conference sponsors or speakers attending the Conference. You must not reproduce or allow anyone one to reproduce trademarks or materials distributed by or on behalf of us at a Conference for any reason, without our prior written permission.

Nothing in these Terms shall vest in you any legal or beneficial right in or to any intellectual property rights owned or used under licence by us or our related companies or grant to you any right or licence to any other intellectual property rights of us or our related companies. All such intellectual property rights shall remain the exclusive property of us and our related companies.

It is strictly forbidden for any company, organisation, or person to attempt to host or organise any event in conjunction with, contiguous to or purporting to be related to a Conference or its affiliates without the express prior permission and cooperation of us. We reserve their right to take such action (legal or otherwise), including a claim for damages as we, in our sole discretion, deem appropriate in the circumstances.

3.7 Warranties

To the extent permitted by the applicable law, we disclaim all warranties or conditions, either express or implied, or any part of them in respect of any aspect of a Conference or any related materials. You acknowledge and agree that in accepting these Terms you have not relied on any representation or warranty that is not expressly included in these Terms and you agree that you shall have no remedy in respect of any misrepresentation which has not become a part of these Terms.

3.8. Remedies for breach of warranty for material defects

On the basis of a contract in which the parties owe mutual services, the obligor shall be subject to a warranty for material defects for his defective performance. Under his claim for warranty for material defects, the obligee, subject to his choice, a) may claim repair or replacement, unless the performance of the chosen remedy for breach of warranty for material defects is impossible, or if it would result in disproportionate additional costs to the obligor compared to satisfying a different claim for warranty for material defects, taking into account the value that the service would have in flawless condition, the gravity of the breach of contract and the harm to interests caused to the obligee by satisfying the right of warranty for material defects; or b) may claim the pro rata reduction of the consideration; may repair the defect himself or have it repaired by somebody else at the obligor’s expense, or may cancel the contract if the obligor did not undertake repairing or replacement, or was unable to comply with this obligation under the conditions set out in paragraph (4), or if the obligee’s interest in its repair or replacement no longer exists. (3) An insignificant defect shall not give rise to cancellation. (4) Repair or replacement shall be completed within an appropriate time limit, by appropriately considering the interests of the obligee and taking the characteristics of the thing and its designated purpose that can be expected from the obligee into account.

3.9. Product Warranty

We do not sell products for which we would need to provide product warranty.

3.10. Limitation of Liability

You acknowledge and agree that views expressed by speakers at or in connection with the Conference are their own and we do not accept any responsibility or liability for any advice given or views expressed during or in connection with the Conference.

Materials shared or distributed at or in connection with the Conference are intended for information purposes only and should not be relied upon by you or others. We and our related companies do not provide any guarantees, conditions or warranties that the materials are complete or accurate and do not accept any responsibility or liability for reliance by you or any person on any aspect of the Conference and/or any information provided at the Conference.

To the fullest extent allowed by applicable law:

I. we and our related companies shall not be liable to you whether in contract, tort (including for negligence), misrepresentation, restitution or otherwise for any for any loss of profits; loss of sales or business; loss of agreements or contracts; loss of anticipated savings; loss of income; loss of opportunity; loss of or damage to goodwill; loss of use or corruption of software, data or information; and/or similar losses or pure economic loss, or for any indirect or consequential loss, costs, damages, charges or expenses however arising under or in connection with the performance or contemplated performance of the Terms, even if we had been advised of the possibility of same in advance; and

II. subject to paragraph III (below), our total aggregate liability in contract, tort (including negligence), misrepresentation, restitution or otherwise, arising under or in connection with the performance or contemplated performance of the Terms is limited to the total amount paid by you to us for your ticket to participate and access the Conference, after the payment of any processing fees or bank charges applicable.

III. Nothing in these Terms purports to exclude or limit liability for any fraudulent statement or act or in respect of any liability that cannot be excluded or limited under applicable law.

Pursuant to these general terms and conditions and subsection (3) of section 6:22 of the Hungarian Civil Code, claims arising from the legal relationship between EMG Group and the Customer may only be enforced within a six-months limitation period, except when these general terms and conditions determine a shorter period for the exercise of a right.

3.11. Indemnity

It is possible that the Conference may not be available at any given time due to (a) power or server outages or issues (b) update or maintenance periods (c) as a result of a war, acts of God, flood, drought, earthquake or other natural disaster; (d) epidemic or pandemic; (e) terrorist attack, civil war, civil commotion or riots, war, threat of or preparation for war, armed conflict, imposition of sanctions, embargo, or breaking off of diplomatic relations; (f) nuclear, chemical or biological contamination or sonic boom; (g) any law or any action taken by a government or public authority; (h) collapse of buildings, fire, explosion or accident; (i) any labour or trade dispute, strikes, industrial action or lockouts; (j) non-performance by suppliers or subcontractors; (k) interruption or failure of utility service and/or (l) electronic or communications failure. We will take reasonable efforts to provide you with notice of interruption to the Conference. Where the Conference is unavailable for reasons beyond our control, we shall have no liability to you.

We are not liable if the Conference is, in whole or in part, cancelled, rescheduled or postponed, or for any failure or delay to perform our obligations under these Terms, if such event results from anything beyond our reasonable control (for example (a) power or server outages or issues (b) update or maintenance periods (c) as a result of a war, acts of God, flood, drought, earthquake or other natural disaster; (d) epidemic or pandemic; (e)terrorist attack, civil war, civil commotion or riots, war, threat of or preparation for war, armed conflict, imposition of sanctions, embargo, or breaking off of diplomatic relations; (f) nuclear, chemical or biological contamination or sonic boom; (g) any law or any action taken by a government or public authority; (h) collapse of buildings, fire, explosion or accident; (i) any labour or trade dispute, strikes, industrial action or lockouts; (j) non-performance by suppliers or subcontractors; and (k) interruption or failure of utility service , (l) electronic or communications failure y) or anything else that renders performance of the Conference, in whole or in part, impracticable, illegal or impossible.

3.12. Force majeure

We are not liable if the Conference is, in whole or in part, cancelled, rescheduled or postponed, or for any failure or delay to perform our obligations under these Terms, if such event results from anything beyond our reasonable control (for example, natural disasters, epidemic or pandemic, flood, fire, acts of terror, war, labour strike, extreme weather, malicious damage, compliance with any law or governmental order, or mechanical, electronic or communications failure or degradation, or any other emergency) or anything else that renders performance of a Conference, in whole or in part, impracticable, illegal or impossible.

3.13. Governing law and jurisdiction

This interpretation, formation and operation of the Terms and all non-contractual obligations arising from or connected with them shall be governed by and construed in accordance with, and all disputes between the parties arising out of or in any way relating to the Terms or any disputes between the parties in any way connected with the subject matter of these Terms (whether contractual or non-contractual) shall be governed by, the laws of Hungary. For issues not regulated in these general terms and conditions, the provisions of the Act V of 2013 on the Civil Code shall apply.

Each of the parties submits to the exclusive jurisdiction of the Hungarian Courts.

Nothing contained in the Terms shall limit our right to bring enforcement proceedings in another jurisdiction or to seek interim, protective or provisional relief in the courts of another jurisdiction.

4. Tickets and prices

4.1. Prices

You will find details of the ticket pricing and fees for the Conference here. Ticket prices for the Conference are correct at the time of publication.

All prices indicated on the untoldstoriesconference.com website are in euros and include Hungarian VAT 27%.

We reserve the right to change the ticket prices at any time, but any changes will not affect tickets that have already been purchased.

A valid ticket entitles you to entry to the Conference as a startup, general admission, business executive/corporate, VC/investor, but does not include any requirements associated with travel to or from the Conference or any accommodation costs incurred, and we shall have no liability for such costs or expenses.

4.2. Ticket types

Startup Ticket: The only option for accessing the startup ticket, thus giving access to additional value propositions, is through the selection process via an online application form. If the startup is selected, a personalised link will be sent to the contact person by email, through which a discounted startup ticket can be purchased. Startups are in general requested to pay for participation in the Conference. Benefits include: access to the physical event, networking sessions and all public side events of the Conference; the opportunity to be included in the Untold Stories Conference startup catalog, shared with corporate and investors participating in the Conference; the opportunity to sign up and participate in the Pitch Slam and Group Office Hours during the Conference.

General Admission Ticket: The benefits offered to the ticket holders include access to the physical event and venue facilities, networking sessions and all public side events of the Conference.

Business Executive / Corporate Ticket: The benefits offered to the ticket holders include access to the physical event and venue facilities; networking sessions offered throughout the entirety of the event duration; entry to all public side events organized, as well as access to the exclusive Speaker Lounge 

VC/ Investor Ticket: The benefits offered to the ticket holders include access to the physical event and venue facilities; networking sessions offered throughout the entirety of the event duration; entry to all public side events organized; access to the exclusive Speaker Lounge and access to the Untold Stories Conference Budapest startup catalog.

4.3. Delivery

Once a successful ticket transaction has been completed, tickets are delivered in electronic soft-copy via email to the email address nominated by the Customer. For all ticket types it may be necessary to complete required information such as the Customer name or tax identification number before the tickets can be issued. The ticket will be used to gain entry to the Conference listed on the ticket. 

All tickets must be assigned to a Customer, and all Customer details must be completed when purchasing the ticket. For the avoidance of doubt, this includes name, job title, company name and email address. Ticket reassignment after this date is subject to the subsection 4.5 of Section 4.

4.4. Discounts

We may from time to time offer certain discounted ticket promotions to encourage attendance at the Conference. We are not obligated to offer any discounts for a particular Customer and reserve the right to chance or withdraw a discount offer at any time in our sole discretion.

4.5. Ticket name changes

If a Customer finds that they cannot attend the Conference they must notify us as soon as possible (and in any case no later than 7 days before the commencement of the Conference) by email at: hello@untoldstoriesconference.com and request a name change on their ticket. We may in our absolute discretion allow the name change. 

5. Payment

5.1. Terms of payment

Untold Stories Conference online store (“Cart”) accepts only euros and uses the payment system of Revolut Payments UAB. The only methods of payment available in the online store are MasterCard and VISA credit cards.

Upon receipt of payment, the Organizer shall issue a Pro-Forma Invoice that needs to be reviewed by the Customer and if any correction is necessary, you should contact us at hello@untoldstoriesconference.com within 24 hours. 

If we don't hear from you, we will assume you are satisfied with the details on your invoice, and we will send the final copy of your VAT invoice including Tax in the next 72 hours.

EMG Group shall bear no liability for the proper service of payment, especially by the Revolut Payments UAB operator, LT-08130, Vilnius.

5.2. Refund and cancellation

Your ticket remains our property and is a personal revocable license, which may be withdrawn, and admission to the Conference may be refused at any time upon a refund of the printed registration price.

The purchase process may be cancelled at any time before payment is effectuated without any consequences. Following the completion of the payment, based on Section 29 paragraph (1) l) of Government Decree 45/2014. (II. 26.) the Customer is not entitled to cancel the purchase service. All purchases of Conference tickets are non-refundable in their entirety. 

In case of shifting from the face-to-face Conference to the online version (as stipulated in subsection 3.1. in Section 3), you have the option to either use the ticket to attend the online version or to transfer your ticket to the 2023 edition. No refunds will be provided if the Conference format will be shifted to online
.
If the Conference is postponed, we will provide you with substitute passes to the Conference at a later date. No refunds will be provided if the Conference is postponed.

In the unlikely event of cancellation of the Conference by Us, we shall reimburse the ticket fee (excluding transaction fees) to Customers within 14 (fourteen) working days of the date on which the decision is taken to cancel the Conference and Customers are informed of such.

5.3. No reselling

The tickets you purchase are for your own personal use or that of your business only and may not be resold under any circumstances, including but not limited to use as part of any promotion or competition.
 
In case of re-assigning the ticket to someone else, you should contact us at hello@untoldstoriesconference.com. Reselling or otherwise transferring your ticket, not in accordance with the Terms, will void the ticket and the ticket holder will not gain entry to the Conference. Where there has been any resale or attempted resale of any tickets (or any other breach of this term), we reserve the right to cancel the relevant tickets with immediate effect.

We reserve the right to cancel any ticket purchase made by any person or body whom we reasonably believe to be associated with any ticket reselling or ticket broker.
